Acceptance and Scope
These Website Terms & Disclaimer (“Terms”) govern use of NPEGConsulting.com and NPEG-controlled website content. By using the website, a visitor agrees to these Terms to the extent enforceable under applicable law. These Terms govern website use only and do not replace an executed Master Consulting Agreement, Statement of Work, NDA, or other written client agreement. If an executed client agreement conflicts with these Terms regarding contracted services, the executed client agreement controls for those services.
Informational Website; No Client Relationship
Website content is provided for general informational and business-development purposes. Visiting the website, downloading a resource, submitting an inquiry, scheduling a consultation, or exchanging preliminary communications does not create a consultant-client, fiduciary, attorney-client, healthcare-provider, accreditor, regulator, agency, partnership, employment, or joint-venture relationship. A consulting relationship is established only through an appropriate written agreement executed by authorized representatives of NPEG and the client.
Independent Consulting
NPEG is an independent nursing-education and institutional consulting company. NPEG is not an accrediting agency, regulatory authority, law firm, healthcare provider, or governmental entity and does not speak for ACEN, a board of nursing, any regulator, any educational institution, or the Owner’s employer unless expressly authorized in writing.
No Guaranteed Outcome
NPEG does not guarantee accreditation, continued accreditation, regulatory approval, licensure, examination or NCLEX results, enrollment, funding, institutional approval, survey findings, corrective-action acceptance, or any other decision or outcome controlled by a third party. Website examples, descriptions, frameworks, or educational materials are not promises of a particular result.
No Legal, Medical, Clinical, or Regulatory Advice
Website content does not constitute legal advice, legal representation, patient care, diagnosis, treatment, prescriptions, medical advice, direct clinical nursing services, or an official regulatory or accreditation determination. Institutions remain responsible for their own governance, policies, submissions, compliance decisions, implementation, and for obtaining legal or other specialized professional advice when appropriate.
No Professional Reliance on Website Content
Website materials are necessarily general and may not reflect a visitor’s facts, jurisdiction, program type, accreditor, regulatory status, institutional policy, or current requirements. Visitors should not make a material institutional, legal, regulatory, accreditation, clinical, employment, or financial decision solely in reliance on website content. NPEG may update website content, but does not warrant that every page or resource is complete, current, error-free, or suitable for a particular purpose.
Intellectual Property
Unless otherwise stated, NPEG’s website content, branding, original resources, methodologies, frameworks, assessments, scoring approaches, templates, graphics, written materials, and other proprietary content are owned by or licensed to Nursing Program Excellence Group, LLC. No ownership right is transferred by website access. Visitors may view website content for legitimate informational purposes, but may not reproduce, scrape, republish, sell, sublicense, commercially distribute, create unauthorized derivative commercial products from, remove proprietary notices from, or use NPEG content to train or populate a competing commercial product or service without NPEG’s prior written permission, except to the extent applicable law expressly permits the use.
Permitted Linking and Third-Party Materials
Ordinary linking to publicly accessible NPEG webpages is permitted so long as the link does not imply endorsement, sponsorship, affiliation, or authorization that does not exist. Third-party names, standards, publications, links, and materials remain the property of their respective owners. Reference to a third party does not imply endorsement by or of NPEG.
Third-Party Websites and Services
The website may link to or integrate third-party services, including scheduling, communications, hosting, payment, or other external resources. NPEG does not control and is not responsible for the content, availability, security, privacy practices, terms, or performance of third-party websites or services. Use of a third-party service is subject to that provider’s terms.
Website Availability and Prohibited Use
NPEG may modify, suspend, restrict, or discontinue website functionality at any time. Visitors may not use the website to interfere with its operation or security; attempt unauthorized access; transmit malicious code; impersonate another person; harvest data through abusive automated means; submit unlawful or infringing material; or use NPEG’s name, content, or systems in a manner that falsely suggests affiliation or endorsement.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NPEG DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND RESULTS. NOTHING IN THESE TERMS DISCLAIMS A WARRANTY OR RIGHT THAT APPLICABLE LAW DOES NOT PERMIT TO BE DISCLAIMED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NPEG AND ITS MEMBER, OFFICERS, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, FUNDING, ENROLLMENT, DATA, GOODWILL, ACCREDITATION OR REGULATORY STATUS, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON GENERAL WEBSITE CONTENT OR THIRD-PARTY SERVICES. FOR A CLAIM ARISING SOLELY FROM USE OF THE PUBLIC WEBSITE AND NOT FROM AN EXECUTED CLIENT AGREEMENT, NPEG’S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100), TO THE EXTENT SUCH A LIMITATION IS PERMITTED BY APPLICABLE LAW. AN EXECUTED CLIENT AGREEMENT CONTROLS LIABILITY ARISING FROM CONTRACTED CONSULTING SERVICES. NOTHING IN THIS SECTION LIMITS LIABILITY TO THE EXTENT A PARTICULAR LIMITATION IS PROHIBITED BY APPLICABLE LAW.
Public-Institution Savings Provision
If a website visitor is acting for the State of Ohio or another governmental entity, these Terms do not require that entity to indemnify or hold harmless NPEG, submit to binding arbitration or other binding extrajudicial dispute resolution, accept a venue prohibited by law, waive public-records obligations, accept an automatic renewal that unlawfully obligates future public funds, accept an unknown or unilaterally changeable procurement term, or accept any limitation or condition prohibited by mandatory public law. A prohibited term is inapplicable only to the minimum extent required by law; the remaining Terms continue to apply where lawful. These website Terms do not themselves constitute a procurement contract or authorize NPEG to perform consulting services for a public entity.
Governing Law and Venue
These Terms are governed by Ohio law, without regard to conflict-of-laws principles. For disputes involving a State of Ohio entity, mandatory Ohio law controls, including any jurisdiction or venue requirements applicable to the State. For all other disputes arising solely from website use, exclusive jurisdiction and venue lie in a state or federal court of competent jurisdiction in Franklin County, Ohio, except that either party may seek appropriate equitable relief in a court having jurisdiction. Nothing in these Terms requires a governmental entity to accept a venue or dispute mechanism that applicable law prohibits.
Severability; No Waiver; Changes
If a provision of these Terms is held unenforceable, it will be narrowed or severed to the minimum extent necessary and the remainder will continue in effect. NPEG’s failure to enforce a provision is not a waiver. NPEG may revise these website Terms prospectively by posting an updated version and effective date. Changes to these Terms do not amend an executed client agreement unless the parties separately agree in a signed writing.
